Terms of service
Last updated 25.10.2026
1. General
These terms of service (the terms) govern the use of the web-based software Idus (the service). The service is provided by Kahur Media OÜ (registry code 10704434, VAT no EE100710481, Vääna tn 12, Nõmme district, Tallinn, Harju county, Estonia, e-mail idus@kahur.ee), referred to as we.
The service is meant for companies and other persons acting in the course of their business or profession (the customer). The service is not offered to consumers within the meaning of the Estonian Law of Obligations Act. The consumer right of withdrawal and other consumer protection provisions do not apply to a contract made under these terms.
The terms, together with the privacy policy, the data processing agreement and the pricing page, form the contract between the customer and us (the contract).
2. Account and workspace
2.1. To use the service a person creates an account in their own name and e-mail address. An account is personal and is not shared.
2.2. The customer creates a workspace and invites its employees, managers and partners (together the users). The person who creates or manages a workspace confirms that they are entitled to represent the customer and to accept these terms on its behalf.
2.3. The customer is responsible for everything done in its workspace under its users' accounts, including the assignment of roles and permissions.
2.4. A user keeps their sign-in details secret and tells us without delay if they suspect misuse of the account. We recommend turning on two-factor authentication.
2.5. The terms are accepted when an account is created. Where a user accepts the terms at their employer's instruction, the parts of the terms that concern the account and the use of the service apply to them, and the customer is their employer.
3. Plans, prices and payment
3.1. The service's plans, what they include, their limits and prices are on the pricing page. Prices are in euros, per company per month, and exclude VAT. VAT is added as the law provides.
3.2. The free plan has no time limit. We may change what the free plan includes and its limits, with notice as described in section 10.
3.3. The customer orders a paid plan from the pricing page by card payment. Payments are processed by Stripe. The subscription renews every month automatically until the customer ends it. An invoice is issued at the start of each period and is due immediately.
3.4. For plans marked "By arrangement" on the pricing page, the price and conditions are agreed separately. Trial periods are also agreed separately.
3.5. A change to a larger plan takes effect immediately, to a smaller plan at the end of the current period. Fees for a partly used period are not refunded.
3.6. If a payment fails we notify the customer and retry the payment. If the fee remains unpaid for 7 days we may suspend the paid plan's features and move the workspace to the free plan. Data is kept.
3.7. If a workspace exceeds its plan's limits (for example the number of workers or clients), the features beyond the limit become unavailable until the customer chooses a larger plan or reduces usage. Existing data is kept.
3.8. We give at least 30 days' notice of a price change. The new price applies from the billing period that follows the notice. A customer who does not agree may end the subscription before the new price takes effect.
4. Our obligations
4.1. We provide the service with due care and to the extent described on the pricing page. The service evolves: we add features, fix faults and may change features. We give at least 30 days' notice before removing a material feature.
4.2. We keep the service secure with the measures described in section 8 of the privacy policy and process workspace data only on the customer's instructions under the data processing agreement.
4.3. We answer support requests sent to idus@kahur.ee within business days.
4.4. We aim to keep the service available around the clock but do not guarantee uninterrupted availability or a specific availability level. Where possible we carry out planned maintenance outside Estonian business hours and announce it in advance when it is expected to last more than 30 minutes.
4.5. We make an encrypted backup of the data every day.
5. The customer's obligations
5.1. The customer uses the service lawfully and only to run its own business.
5.2. The customer is responsible for having a legal basis to process its employees' and other persons' data in the service, and informs its employees about working-time and location recording in the way the law requires. An employer's duties in keeping working-time records are the customer's, not ours.
5.3. The customer is responsible for the accuracy of the data entered into the service. The service assists with record keeping but does not replace the judgement of the customer's accountant, lawyer or other professional.
5.4. The customer must not: give account or workspace access to a third party outside the service's own means, attempt to access the service in a way the service does not offer, deliberately overload the service, copy, decompile or derive the service's software, use the service to store or distribute unlawful content, or infringe third parties' rights.
5.5. The customer keeps its billing and contact details up to date.
6. Data and intellectual property
6.1. All data the customer and its users enter or upload into the service (customer data) belongs to the customer. The customer grants us the right to process customer data only to provide the service and perform the contract.
6.2. The service's software, design, documentation and the Idus trademark belong to us. The customer receives a non-exclusive, non-transferable right to use the service for the term of the contract.
6.3. The customer can take customer data out of the service with the export features the service offers (for example the timesheet as CSV, acts and invoices as PDF) within its plan. When the contract ends there are 30 days to download the data, after which we delete the workspace data from live systems. Documents the law requires us to keep are kept for the statutory period.
6.4. We may use suggestions and feedback about the service to develop it, without payment or restriction.
7. Artificial intelligence and external connections
7.1. The service may read documents (receipts, invoices, quotes) with the help of artificial intelligence. The result is a suggestion that the user checks and confirms. We are not liable for the consequences of an AI error where the user left the result unchecked. A workspace owner can turn AI off or use their own provider key.
7.2. A user may connect their own AI client or another tool to the service (MCP interface, API). The user who made the connection and the tool's provider are responsible for the data that moves through it. The user can revoke the connection at any time.
7.3. The service uses third-party services (payments, e-mail, map tiles, public registers). An outage at a third party may temporarily limit the corresponding feature of the service.
8. Liability
8.1. We are liable for a breach of the contract as provided in the Estonian Law of Obligations Act, subject to the following limits.
8.2. Our total liability to the customer in one contract year is limited to the amount the customer paid us for the service in the same 12 months. On the free plan liability is limited to 100 euros.
8.3. We are not liable for lost revenue, lost business opportunity, damage to reputation or other indirect loss, nor for loss arising from incorrect data entered by the customer or a user, from faults in the customer's devices or internet connection, or from an outage at a third party.
8.4. The limits do not apply to an intentional breach or gross negligence, or where the law does not allow the limit.
8.5. The customer compensates us for loss caused by the customer or its user breaching the obligations in section 5 or a third party's rights.
9. Suspension and termination
9.1. The customer may end a paid plan at any time in the billing settings. Termination takes effect at the end of the current paid period. On the free plan the workspace remains until the customer asks us to delete it.
9.2. A user may delete their account at any time in settings. Deleting an account anonymises it as described in the privacy policy, and a workspace owner must first transfer ownership to another member.
9.3. We may suspend the customer's access or terminate the contract without notice if the customer or its user materially breaches section 5, uses the service unlawfully or endangers the security of the service or other customers. Where possible we give notice before suspending and allow time to remedy the breach.
9.4. We may discontinue the service with at least 90 days' notice. In that case we refund the unused part of a prepaid period and allow the customer to export its data until the service ends.
9.5. Section 6.3 applies when the contract ends.
10. Changes to the terms
10.1. We may change the terms. We publish the changed terms on this page with their date and announce a material change to the workspace owner in the app or by e-mail at least 30 days before it takes effect.
10.2. A customer who does not agree with a change may end the contract before the change takes effect. Using the service after that date counts as acceptance of the change.
10.3. A change that is needed to comply with the law, or that is only to the customer's advantage, may take effect immediately.
11. Governing law and disputes
11.1. The contract is governed by the law of the Republic of Estonia.
11.2. We try to settle disputes by negotiation. Failing agreement, disputes are resolved by Harju County Court (Harju Maakohus).
11.3. The terms are written in Estonian and translated into English. In case of conflict the Estonian text prevails.
